Reinstatement and Requalification

Following Administrative Dissolution or Revocation

Administrative dissolution occurs when a North Carolina business entity has failed to perform any of a number of duties described in statute. A similar process called administrative revocation is applicable to entities formed in other states or countries (Out of State Entity).

Once an entity is administratively dissolved, it may apply to the Secretary of State for reinstatement (or requalification, in the case of out of state entities). The entities must submit an application and correct all reasons that led to the dissolution/revocation or else prove to the Secretary that the grounds do not exist.

What you will need to apply for reinstatement or requalify

Reinstatement (North Carolina Entity)

  • Submit an application for Reinstatement Following Administrative Dissolution.
  • Satisfy all grounds including filing any delinquent annual reports, if due.
  • Submit fees for the application and all annual reports, if required.

Requalification (Out of State Entity)

  • Submit an application for Certificate of Authority Following Administrative Revocation.
  • Submit one annual report with current information.
  • Submit a current Certificate of Existence or Good Standing from the state/country of formation.
  • Submit fees for the application for certificate of authority as well as the one annual report.

Submission Methods for Reinstatement or Requalification

  • Online Reinstatement Filing: No need to download forms, online payment, goes directly into the examination queues for review and filing, and has a lower rejection rate.
  • Paper Filing: This method has a longer turn-around time and a high rejection rate.
