Procedures, Laws and Guidelines

Below is a summary of the procedures, laws and guidelines to obtain a Letter of Certification through the NC Veterinary Medical Board to form professional entity.

North Carolina licensed veterinarians who want to form a professional Corporation or professional Limited Liability Company must apply to the North Carolina Veterinary Medical Board for a Letter of Certification pursuant to Chapter 55B of the North Carolina General Statutes.

Procedure to Create a Professional Entity

Step 1

Download and complete the appropriate professional entity creation document from the Forms link on the Business Registration Division website.
Download and complete part one paperwork from http://www.ncvmb.org and submit to Board office along with a copy of the proposed articles. This form requires the listing of all names of shareholders and the selection of a company name, physical address and mailing address.
Please note:
1. Professional corporation names contain P.A., P.C., Inc. or P.L.L.C.
2. Only North Carolina Licensed veterinarians may own stock in a Professional Corporation or be a member of a Professional LLC
3. The articles of incorporation or organization must state that the purpose is to form a “Professional Limited Liability Company or Professional Corporation.” Articles may not state for forming a business corporation.
4. Forming a Corporation is not the same process as the Practice Facility name approval. These are two separate issues that need to be addressed before providing veterinary services to the public.

Step 2

Upon receipt and review, the Board will issue a Letter of Certification, which must be affixed to the proposed Articles of Incorporation or Organization and filed with the Secretary of State’s Office within 90 days. The Letter of Certification is the Board’s verification that all owners in a professional corporation/organization providing veterinary services are licensed to practice veterinary medicine in North Carolina

Step 3

Complete and submit Part II paperwork along with a copy of the Articles of Incorporation/Organization with the seal and signature of the Secretary of State to the Board office to receive a registration number and certificate.

Renewal of Professional Corporation/Organizations

Professional corporations and organizations are renewed in December of each year. Forms are sent to the address on record. If not renewed the professional corporation/organization will be revoked. Notice of a revoked status is provided to the Secretary of State with a request to suspend the professional corporation/organization of record.

Dissolving or Amending of Professional Corporation/Organization

Changes such as dissolving or amending the Articles of Incorporation/ Organization my require paperwork that will need to be submitted with the proposed changes to the Secretary of State’s Office. Therefore, when making those changes, contact the Board first to receive the most up to date information.
